The Client

Our client, an investment company, are in need of an Interim Legal Internal Counsel Officer to join them for a fixed period of 9 months.

The Interim Assignment:

This role will involve assisting the investment team with working will external counsel and investee organisations to execute all investment commitments made by the internal Committee.

Duties are not limited to but will include:

  • Participate in the due diligence process to ensure legal issues around the structure of a proposed investment are addressed
  • Lead the negotiation of the legal documentation representing the business accordingly alongside the Internal Counsel and Compliance Officer
  • Monitor the investment process with regard to any legal issue that arise
  • Assist in the process to dispose of investments
  • Alongside the Internal Counsel and Compliance Officer, create precedents and templates for internal use
  • Complete projects and research to support the social investment market in relation to law and financial regulation

Assignment description 
This will be a key leadership assignment which encompasses everything through executive relationship management on a global basis; ownership and governance expected within an executive board company secretary position. 

Background of The Board of Directors is currently made up of an Independent non-exec Chairman, two independent non-exec Directors and two non-exec Directors. The Shareholder Council consists of 16 board representatives who have been appointed by the shareholders. 

Candidate description 
You will need to be an established proven individual who has extensive experience as a Company Secretary working within large consumer brands prior to applying to this assignment. Experience of working with high street retail brands would also be highly beneficial. However, we will consider wider consumer exposure. 

We will consider an individual on a 3 day per week basis, International travel may be required therefore the ability to be away from home will be required but predominantly this is a UK based role.

Our client is a large Local Authority in the south west of the country. The role covers the full range of Legal and Democratic Services and is also the Monitoring Officer.

The Interim Assignment
As well as managing the services on a day to day basis, a significant element of the interim Assistant Director, Legal and Democratic Services role will be involved in working closely with the most senior politicians and officers in the Council on embedding new constitutional arrangements that has recently been passed, streamlining scrutiny, changing the way Full Council operates and leading on a boundary review.
